1. Agreement to Terms

By accessing or using Mercury Solutions (the “Platform”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Mercury Solutions (“we,” “our,” or “us”).

2. Eligibility

You must meet the following requirements to use the Platform:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

Mercury Solutions provides the following services:

• AI Trading Analysis — Powered by Claude (Anthropic) and Grok (xAI) for market insights
• Trade Journal — Record and analyze your trading activity
• AI Signals — AI-generated trade ideas with confidence scores
• Options Flow — Options chain analysis and unusual activity detection
• Risk Manager — Portfolio risk analysis and position sizing
• Trade Lab — Backtesting and strategy analysis tools
• Price Alerts — Custom price-based notifications
• Market Data — Real-time and historical quotes via Polygon.io

6. AI Services & Limitations

Our Platform utilizes artificial intelligence models from third-party providers. You acknowledge that:

• AI outputs are generated algorithmically and may contain errors or hallucinations
• AI models have knowledge cutoff dates and may not reflect the most current information
• AI-generated confidence scores are estimates, not guarantees of accuracy
• AI services may experience downtime, rate limiting, or degraded performance
• We do not guarantee the availability, accuracy, or reliability of any AI-generated content
• You should independently verify all AI-generated information before acting on it

7. Market Data

Market data is provided through Polygon.io and is subject to their terms of service. Data may be delayed, incomplete, or inaccurate. We do not guarantee the accuracy, completeness, or timeliness of any market data. Real-time data availability depends on your Polygon.io subscription tier. You agree not to redistribute market data obtained through the Platform.

8. User Conduct

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Platform or its systems
• Interfere with or disrupt the Platform's infrastructure
• Use automated scripts, bots, or scrapers without our written consent
• Reverse engineer, decompile, or disassemble any part of the Platform
• Share your account credentials with others
• Use the Platform to manipulate markets or engage in fraudulent activity
• Redistribute, resell, or commercially exploit the Platform's content or data
• Circumvent any rate limits or usage restrictions

9. Intellectual Property

All content, features, functionality, design, code, and branding of the Platform are owned by Mercury Solutions and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Your trade journal entries, notes, and user-generated content remain your property. By using the Platform, you grant us a limited license to store and process this content solely for the purpose of providing our services to you.

10. Third-Party API Keys

You may provide your own API keys for third-party services (Anthropic, xAI, Polygon.io). You are responsible for complying with the terms of service of those providers. We store your API keys encrypted but accept no liability for charges incurred on your third-party accounts through normal use of the Platform.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mercury Solutions and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, violation of these Terms, or violation of any third-party rights.

14. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. You may delete your account at any time through your account settings. Sections that by their nature should survive termination (including liability limitations, disclaimers, and indemnification) shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
